These Terms & Conditions (the “Terms”) govern the services provided by Vespucci Group LLC (“Vespucci”, “we”, “us”) to its clients (“Client”, “you”). By engaging our services or accepting a quote, the Client agrees to these Terms.
1. Scope
Vespucci provides marketing and creative services, including advertising creative production, marketing consulting, and related e-commerce growth services. The exact scope of each engagement is defined in the corresponding quote, proposal, or service agreement accepted by the Client.
2. Quotes and orders
Each engagement begins with a written quote or proposal. An order is confirmed once the Client accepts the quote in writing (including by email) and, where applicable, pays the agreed deposit. Quotes are valid for thirty (30) days unless stated otherwise.
3. Prices
Prices are expressed in U.S. dollars (USD) and exclude any applicable taxes, which remain the responsibility of the Client where required by law. Prices are those set out in the accepted quote or service agreement.
4. Payment
Unless otherwise agreed in writing, invoices are payable within fourteen (14) days of the invoice date, by bank transfer or other method specified on the invoice. Late payments may result in suspension of the Services until the outstanding amount is settled.
5. Delivery and timelines
Delivery timelines are estimates communicated in good faith and depend on the Client providing required materials, access, and feedback in a timely manner. Vespucci is not liable for delays caused by the Client or by third parties (e.g., advertising platforms).
6. Client obligations
The Client agrees to provide accurate information and any assets, access, or approvals needed to perform the Services, and warrants that any material supplied to Vespucci does not infringe the rights of third parties.
7. Intellectual property
Upon full payment of the applicable fees, the Client owns the final deliverables created specifically for the Client. Vespucci retains ownership of its pre-existing materials, tools, methods, and know-how, and may reference completed work in its portfolio unless agreed otherwise in writing.
8. Confidentiality
Each party shall keep confidential any non-public information disclosed by the other party in connection with the Services and shall use it solely for the purpose of the engagement.
9. Liability
Vespucci provides its Services with reasonable skill and care but does not guarantee specific commercial results, which depend on factors outside its control. To the maximum extent permitted by law, Vespucci’s total liability under an engagement shall not exceed the fees paid by the Client for that engagement. Vespucci shall not be liable for indirect or consequential damages.
10. Termination
Either party may terminate an engagement upon written notice if the other party materially breaches these Terms and fails to remedy the breach within ten (10) days of notice. Fees for Services already performed remain due upon termination.
11. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. Any dispute shall be subject to the competent courts located in that jurisdiction.
12. Changes
Vespucci may update these Terms from time to time. The version in force is the one published on this page at the date of the engagement.
